SEC Approves Innovation Exemption to Allow Tokenized US Stocks Trading
The US SEC has introduced an "Innovation Exemption" allowing trading platforms to issue tokenized US stocks under Project Crypto. The five-year regulatory pathway aims to foster blockchain innovation while ensuring investor protections.

The US Securities and Exchange Commission (SEC) has issued an order establishing a regulatory pathway that allows certain trading platforms to issue digital representations based on tokens of US exchange-traded stocks. The order takes effect immediately. The pathway, known as the "Innovation Exemption," grants trading platforms and specific liquidity providers the regulatory relief required to enable trading in tokenized stocks, provided they meet a series of requirements.
Two of the requirements have become major points of contention among investors: token holders representing shares must retain the same rights they would have if they held ordinary shares, and companies must have the right to object to their securities being represented through tokens. This long-awaited move in the industry comes two days after the Clarity Act, one of the most significant efforts designed to create regulatory certainty for the crypto industry, stalled in the Senate.
The "Innovation Exemption" and Project Crypto
The bill to regulate the market structure of crypto was intended to establish clear rules for the classification and supervision of digital assets, including tokenized securities. Now, the SEC is working to define regulatory boundaries using the powers already vested in it. "The Innovation Exemption is designed to solve the challenges that prevented responsible innovation from taking root in the US, while providing investor protections and standards to maintain market integrity," said SEC Chairman Paul Atkins.
Although this is not a formal rulemaking procedure, the five-year exemption is intended to allow the development of market activity that can provide information and experience toward drafting final rules, and perhaps even help Congress determine if new legislation is required. The move is part of the SEC's "Project Crypto" initiative, launched last year with the goal of moving US capital markets to operate on the blockchain.
"The Commission is not locking in today's technology as tomorrow's standard," Atkins said. "Instead, it allows the market to develop, monitors its evolution, and uses the insights gained to formulate a more flexible and future-proof regulatory framework."
Tokenization and Future Prospects
Tokenization is the process by which digital representations of exchange-traded securities, real-world assets, or any other valuable asset are issued on a blockchain network. In recent years, the field has become a major focus of interest in the markets due to the potential of blockchain technology to improve accessibility to financial assets and increase liquidity.
