Israel Canada and Acro Real Estate are set to complete their major merger by October 30, creating one of the largest real estate entities in the country. Despite the looming merger, market turbulence has erased approximately 3 billion NIS in paper value from both companies since the agreement was signed in late February.

Valuation Shifts and Market Standings

Under the original agreement, the merger was structured around an Acro valuation of 3.1 billion NIS, representing a 10% premium. The payment terms included 60% in shares and 40% in cash, amounting to roughly 1.24 billion NIS, with Acro shareholders slated to hold a 21% stake in the combined firm. However, steep declines across the Tel Aviv real estate sector have brought Israel Canada's market cap down to 4.5 billion NIS and Acro's to 2.4 billion NIS.

With a combined value now sitting below 7 billion NIS, the post-merger Israel Canada-Acro will rank third among Israel's largest real estate companies, trailing Y.H. Dimri and Tidhar. As part of the finalization, Acro will delist from the Tel Aviv Stock Exchange after four and a half years, and its bonds will be converted into Israel Canada series.

Restructured Cash Terms and Tel Aviv Expansion

Recent updates revealed that Israel Canada has successfully met all closing conditions, with final completion expected on Friday, October 30. A portion of the cash payout to controlling shareholders—specifically 310 million NIS out of 667 million NIS—has been deferred to the end of 2027, reducing the immediate cash requirement at closing to approximately 930 million NIS.

The merger was originally conceived during a flight from Tel Aviv to Paris between Barak Rosen and Acro Chairman Tzachi Arbib, aiming to significantly expand footprint and luxury residential development across Tel Aviv.

Acro brings a robust portfolio of luxury residential projects and income-producing properties valued at 1.6 billion NIS, generating an annual net operating income of 95 million NIS.
