The Israel Securities Authority has imposed a financial penalty of 35,685 shekels on the real estate development company Y.B. Hithadshut Haaretz for a 13-day delay in submitting its annual financial report for 2025.

According to the ISA's Inspection and Enforcement Department, the original deadline for submitting annual reports was the end of March. However, amid the security situation, the authority granted a blanket extension to all reporting corporations until April 20, 2026. Despite this relief, the company submitted its reports only on May 3, 2026, marking an 11-day continuous violation.

In its response, the company argued that security disruptions and the consequences of Operation Roaring Lion hindered its administrative continuity and delayed data collection from professionals. It also pointed to delays at its key subsidiary, Psgat Marom Urban Renewal, whose financial statements were reportedly affected by the fighting.

The ISA rejected these justifications, noting that the subsidiary's reports had already been approved on April 19, 2026, a day before the extended deadline expired. Furthermore, the authority refused to grant additional reductions due to the firm's prior enforcement history regarding late 2024 disclosures.

Despite dismissing the excuses, the authority factored in the company's precarious financial condition. Y.B. Hithadshut Israeli media reported a negative operating cash flow of approximately 1.81 million shekels, a meager cash balance of 36,000 shekels, accumulated losses of about 100 million shekels, and a going concern warning.

Consequently, the ISA exercised its authority under reduction regulations to cut the original penalty by 25%. The final fine was set at 35,685 shekels, which the company must pay within 30 days alongside issuing an immediate exchange disclosure.
