Oracle announced a massive $20 billion capital raise through a combined offering of stock and bonds to fund high-cost cloud and artificial intelligence infrastructure developments.

The software giant priced its equity offering at 86.2 million shares priced at $116 each, reflecting an 11.2% discount compared to Friday's closing price. This share sale is projected to generate approximately $10 billion, with an additional $10 billion raised via fixed-rate bonds maturing between 2029 and 2046. Investors reacted sharply to the announcement, sending Oracle shares tumbling 8.8% to $119.22 and deepening the stock's year-to-date losses to around 39%.

Corporate Strategy and AI Investments

Oracle stated that the proceeds will support general corporate purposes, including capital expenditures, debt repayment, acquisitions, dividend distributions, and share buybacks. The funding drive underscores Oracle's aggressive push into artificial intelligence as part of its ambitious target to triple revenues by fiscal year 2030.

Just last week, the company reported that capital expenditures will peak over the current and upcoming fiscal years, pledging to cap additional AI-specific financing at $20 billion through 2030. The bond offering comprises five tranches with fixed yields ranging from 7% to 8.65%.

Market Concerns and Competitor Landscape

Investor anxiety persists as Oracle's cloud revenue continues to lag behind industry giants such as Microsoft and Amazon. Furthermore, market participants remain cautious regarding the company's significant exposure to OpenAI, the loss-making developer behind ChatGPT.
