NextFerm Negotiates 20 Million Shekel Investment and Strategic Pivot
Israeli food-tech firm NextFerm Technologies is negotiating a 20 million shekel investment deal with businessman Yehuda Kamisa, aiming to shift its business focus toward the retail meat sector and restructure operations.

NextFerm Technologies, an Israeli food-tech company specializing in yeast-based ingredients, is negotiating a major investment deal with businessman Yehuda Kamisa. The talks focus on an equity investment that would grant Kamisa a controlling stake in the company, paving the way for a strategic pivot toward the meat-based retail sector.
Under the proposed terms, Kamisa will invest 20 million shekels in exchange for an allocation of shares representing approximately 66.66% of the company's issued and paid-up share capital on a fully diluted basis. Additionally, the deal outlines a 36-month option plan worth another 20 million shekels, which could raise his holdings to roughly 80%.
Kamisa is a prominent figure in Israel's food industry, owning meat processing plants, restaurants, and butcher shops, including Dalton Meat, Bazalt Shawarma, and the Pita Basar franchise. Following the transaction, the company plans to launch a new retail network for meat-based foods, acquire existing branches, and sign franchise agreements. A non-compete framework agreement will be signed to prevent potential conflicts of interest.
As part of the restructuring, the company intends to rename itself Dalton Delicacies (2027) Ltd, split its share capital at a 1:5 ratio, replace its articles of association, and appoint a new board and CEO. CEO Yaakov Zarchia noted that the transaction creates a unique growth opportunity and expands revenue sources for shareholders.
Against the backdrop of the announcement, NextFerm's stock surged by 58.45% over the past week and 34.18% over the month. Founded as a food-tech pioneer developing yeast-based proteins like ProteVin, the company faced financial headwinds in recent years and halted its original operations before pursuing this major turnaround.
