Israel's Infrastructure Giant Barazani Presses Ahead with 1.03 Billion NIS IPO
Y.D. Barazani, Israel's top private infrastructure firm, is advancing a 1.03 billion NIS IPO at a 2.4 billion NIS valuation. The company reported surging revenues and a strong project backlog, while keeping its real estate division private.

Despite a recent market cooldown, Israel's largest private infrastructure firm, Y.D. Barazani, is pressing ahead with a massive IPO aiming for a valuation of 2.4 billion NIS (pre-money). Controlled by brothers Yossi Barazani and Dayan Bar, each holding a 50% stake, the company has slightly lowered its valuation target from earlier estimates of 2.8 to 3 billion NIS.
Led by Active Underwriting, headed by Omri Levy, the company plans to raise approximately 1.03 billion NIS from local institutional and retail investors. The offering capitalizes on surging investor interest in the infrastructure sector, fueled by upcoming large-scale government investments earmarked for post-war national reconstruction and development.
However, the road to the public market required valuation concessions. Market sentiment has been dampened by sluggish recent stock performances and broader market downturns, compounded by political uncertainty following recent election results that saw the benchmark Tel Aviv 35 Index drop by approximately 3.7% over the past week.
Strategic Growth and Dividend Plans
Proceeds from the public offering will flow directly into the company's treasury to fund ongoing operations and execute its strategic roadmap. Key objectives include establishing manufacturing plants for synergistic raw materials, pursuing strategic acquisitions such as quarries and complementary firms, and expanding core infrastructure operations. Additionally, one-third (33%) of the proceeds is earmarked for a post-IPO dividend payout to shareholders.
According to the prospectus, Barazani reported revenues of 402 million NIS for the first half of the year, marking a 43.5% increase compared to the same period last year, driven by higher execution volumes across active projects. Net profit surged by 23% year-over-year to reach 46.3 million NIS.
Looking ahead, the company projects full-year revenues of 1.06 billion NIS, representing a 72% jump over the previous year, with net profit anticipated to reach 113 million NIS—a 42% increase. Furthermore, Barazani has set an ambitious target to achieve annual revenues of 3.5 billion NIS by the end of 2029.
Major Projects and Order Backlog
Barazani currently has roughly 48 active projects underway, including 13 initiated in 2026, securing a combined order backlog of approximately 1.96 billion NIS. Prominent ventures include constructing the northern section of the Highway 2 fast lanes project—stretching from the Netanya interchange to the Wingate Institute—projected to generate 474 million NIS in revenue.
The firm is also expanding Highway 60 in the northern section from Ofra to Shar Binyamin and the southern section from Neve Daniel to HaShayarot Junction for Moria, the Jerusalem municipal development company, yielding about 305 million NIS. In partnership with Even Derech, Barazani is advancing the Harama neighborhood project in Katzrin, featuring 1,800 housing units alongside commercial, public, and employment spaces, expected to bring a combined gross profit of 606 million NIS on total projected revenues of 2.2 billion NIS.
Founded in 1991, Y.D. Barazani specializes in road construction, bridges, earthworks, railways, underground infrastructure, and tunneling, operating primarily with municipal and government bodies. Following the IPO, co-CEOs Yossi Barazani and Dayan Bar are slated for an executive compensation increase, with their annual salary set to rise to 4.1 million NIS each as their employment scope expands to 70%.
While the company boasts extensive real estate activities—including residential development, urban renewal, and income-generating properties—these divisions will remain private due to current market weakness in the real estate sector, ensuring that only the infrastructure core is offered to public investors.
